About the Role:
The Company Secretary plays a critical governance role in supporting the Board and ensuring the organisation meets its legal, regulatory, and compliance obligations. As a key adviser to the Board, the Company Secretary helps facilitate effective Board processes, supports good governance practices, and acts as a liaison between the Board and management.
Main Responsibilities:
- Ensure Board and committee meetings are properly scheduled, convened, and minuted.
- Maintain a register of Board policies, charters, and terms of reference.
- Assist the Board with annual reviews, strategic planning cycles, and performance evaluations.
- Maintain statutory registers and ensure timely lodgement of required filings with regulators (e.g. ACNC, ASIC).
- Accurately record minutes of Board and committee meetings and track actions arising (general meeting administration).
- Maintain up-to-date records of Board members’ terms, appointments, and declarations of interest.
- Act as a key point of contact between the Board, executive management, and external stakeholders (e.g. auditors, legal advisors).
Essential Knowledge:
- Demonstrated experience in a governance or company secretarial role, ideally within a not-for-profit or similar organisation.
- Strong understanding of corporate governance principles and relevant regulatory requirements (e.g. ACNC, ASIC, the Corporations Act, or state-based incorporated association laws).
- Excellent organisational, written, and verbal communication skills.
- Ability to maintain confidentiality and exercise sound judgment.
- High attention to detail and the ability to work independently and to deadlines.
Desirable Knowledge:
- Qualifications in business and governance (e.g. GIA or AICD training), or a related discipline.
- Experience supporting a volunteer or community Board.
- Understanding of the unique governance environment in the not-for-profit sector.
